1. Acceptance of Terms

By accessing or using SmartDialTech (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SmartDialTech is a cloud-based power dialer that connects to your Twilio account to automate outbound calls. You are responsible for maintaining your own Twilio account, phone numbers, and payment of call charges billed by Twilio.

3. User Responsibilities

You are solely and fully responsible for:

  • All activity that occurs under your account.
  • Ensuring your use of the Service complies with all applicable laws, regulations, and telemarketing rules, including but not limited to TCPA, GDPR, and local calling-time restrictions.
  • Obtaining any required consents before making calls or recording conversations.
  • The accuracy, legality, and quality of any contact lists, scripts, or recordings you enable. Audio recordings are stored in your Twilio account and you remain responsible for their content, use, and compliance.
  • Maintaining the confidentiality and security of your account credentials, including your Twilio credentials.

4. Prohibited Use

You may not use the Service to:

  • Make unsolicited, fraudulent, harassing, abusive, or illegal calls.
  • Spoof caller ID or transmit misleading information.
  • Violate any applicable law, regulation, or third-party right.
  • Upload contact lists without proper legal basis or consent.
  • Reverse engineer, scrape, or interfere with the Service.

5. Account Suspension and Termination

SmartDialTech reserves the right to suspend or terminate your account, with or without notice, if we believe you have violated these Terms, broken any law, or engaged in conduct that harms the platform or other users. We may also cooperate fully with law enforcement and regulatory authorities as required or permitted by law.

6. No Warranty

The Service is provided on an “as is” and “as available” basis. SmartDialTech makes no warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for a particular purpose of the Service.

7. Limitation of Liability

To the maximum extent permitted by law, SmartDialTech and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or financial loss, arising out of or relating to your use of or inability to use the Service, even if advised of the possibility of such damages.

SmartDialTech is not responsible for any damages, losses, fines, penalties, or claims resulting from your use of the Service, your call content, your contact lists, or your failure to comply with applicable laws.

8. Software Defects and Downtime

While we strive to provide a reliable service, software defects, downtime, outages, errors, or data loss may occur. SmartDialTech is not liable for any financial or other losses resulting from such issues. You use the Service at your own risk.

9. Cooperation with Authorities

SmartDialTech will work closely with law enforcement, regulatory authorities, and other third parties as required by law, court order, or to protect the safety, rights, or property of SmartDialTech, its users, or the public.

10. Indemnification

You agree to indemnify and hold harmless SmartDialTech and its affiliates from any claim, demand, loss, liability, or expense arising from your use of the Service, your content, or your violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SmartDialTech operates, without regard to conflict of law principles.
